These terms govern your use of the website eurotradeflow.com and the submission of quote requests, benchmark requests and contact messages to EuroTradeFlow, Vienna, Austria ("EuroTradeFlow", "we", "us"). By using the website or submitting a request, you accept these terms.
1. Service description
EuroTradeFlow provides managed sourcing and procurement support for business customers: on the basis of a customer's requirement we identify, qualify and negotiate with European manufacturers, prepare comparable offers or benchmarks, and coordinate samples, documentation, production, quality checks and logistics. The website describes this service and allows you to submit requests.
2. Business customers only
Our services are offered exclusively to companies, entrepreneurs and other professionals acting in the course of their business (B2B). By submitting a request, you confirm that you act on behalf of a business and are authorised to do so. Consumers within the meaning of the Austrian Consumer Protection Act (KSchG) are not addressed by this website.
3. Requests are non-binding
Submitting a quote request, benchmark request or contact message is free of charge and does not create a contract. We will review each request and inform you whether we can take it on. We are under no obligation to accept a request, to deliver a particular number of offers, or to achieve a particular result. A contract for our services only comes into existence when scope, timeline and fee model have been confirmed in writing (email suffices) by both parties.
4. Offers from manufacturers
Offers, prices, minimum order quantities, lead times, capacities and certifications that we present are based on information provided by the respective manufacturers. We verify this information with reasonable care but cannot guarantee its accuracy or completeness. Offers are non-binding until confirmed in writing by the manufacturer or, where agreed, by us. Any purchase contract for goods is concluded between you and the manufacturer, or with us, according to the model agreed for the specific project.
5. Confidentiality and disclosure of manufacturers
We treat the information and documents you submit as confidential and share them only as described in our privacy policy. Offers and benchmarks are initially presented anonymised. The identity of a manufacturer is disclosed when you decide to proceed to the sample stage or as otherwise agreed. You agree not to use anonymised comparisons to identify or contact manufacturers outside the process, and to keep the offers, benchmarks and documents we provide confidential and use them only for your own evaluation.
6. Your obligations
You agree to provide accurate and complete information, to hold the necessary rights to any files you upload (for example drawings or specifications), and not to upload content that is unlawful, infringes third-party rights or contains malicious code. You agree not to use the website for any unlawful purpose, to interfere with its operation, or to access it by automated means without our permission.
7. Fees
The initial assessment of a request is free of charge. Fees for sourcing projects, whether a sourcing fee or a success-based fee, are agreed individually and in writing before any chargeable work begins. Unless otherwise agreed, fees are quoted in euro, exclusive of VAT.
8. Intellectual property
The content of this website, including text, layout, graphics and marks, belongs to EuroTradeFlow and is protected by copyright and other laws. You may not reproduce, distribute or create derivative works from it without our written permission. You retain all rights to the materials you upload; you grant us the non-exclusive right to use them for the purpose of handling your request.
9. Warranties and liability
The website and its content are provided "as is". We make no warranty that the website will be available without interruption or free of errors. To the extent permitted by law, our liability for damage arising from the use of the website or from the handling of a request is limited to cases of intent and gross negligence; liability for slight negligence is excluded, except for personal injury. We are not liable for indirect damage, loss of profit or consequential loss. Liability under mandatory statutory provisions remains unaffected. Specific liability provisions for sourcing projects are set out in the individual project agreement.
10. Third-party links
The website may contain links to third-party websites. We have no control over and accept no responsibility for their content, terms or privacy practices.
11. Privacy
The processing of personal data is described in our privacy policy, which forms part of these terms.
12. Changes
We may amend these terms at any time. The current version is published on this page with the date of the last update. Amendments apply to requests submitted after publication.
13. Governing law and jurisdiction
These terms and any dispute arising from the use of the website or the submission of requests are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The courts with subject-matter jurisdiction in Vienna, Austria have exclusive jurisdiction.
14. Severability
If any provision of these terms is or becomes invalid, the remaining provisions remain in force. The invalid provision shall be replaced by a valid one that comes closest to its economic purpose.
